Cyprus registered company “Fedelta Group Limited” is planning to acquire the entire share of “MTS Armenia” CJSC. The National Commission for the Regulation of Public Services in Armenia has approved the transfer of telecommunications services from “MTS Armenia” CJSC to the ownership of “Fedelta Group Limited.” This means that “MTS Armenia” CJSC will no longer be a member of the “MTS” group, as it currently belongs to the Russian “Mobile TeleSystems” international company.

The high technology industry issued a statement confirming that there are no obstacles to the transaction, and the National Security Service of Armenia has allowed the transaction to proceed. However, there is limited official information available regarding the actual shareholders of “Fedelta Group Limited” and the associated companies in Cyprus. The company was registered with 75% and 25% of shares owned by two other registered companies in Cyprus – “Nofal Holdings Limited” and “Ortasano Investments Limited.”

The process is ongoing, and additional information is still being gathered. It is evident that Andreas Ourris, a Cyprus citizen, is one of the shareholders and is also involved in various other registered companies in Cyprus. The ownership structure and real beneficiaries of “Arma InvestmEnts Limited” are connected to “WIMTHED LIMITED,” a subsidiary of “Fedelta Group Limited.”

Other than this, there is a lack of information regarding the actual shareholders of the company. The management of “Fedelta Group Limited” carries out the legal activities of the executive bodies. “ALLEGRETTOS HOLDING C.Ô. “uk” has Stefanos Orphanides, Gabriella Maratheftou, and Marlen Triantafyllides as the legal representatives. Similarly, “ALLEGRETTOS MANAGEMENT C.Ô. “uk” has Nino Iosif, Artemis Orphanidou Kleanthous, Stylianos Triantafyllides, and Vasiliki Triantafyllides replacing the previous representatives.

It is worth noting that the electronic registry does not allow for the technical representation of three people, so only one is filled. Vladimir Evtushenko’s participation in “MTS Armenia” CJSC (via “ALLEGRETTOS HOLDING C.Ô. “uk”) is approximately 20.7% based on calculations. The actual partners within “ARMA INVESTMENTS LIMITED” registered in Cyprus are Emma St. Tailleur, Ronald Tabatadze, and James Body. However, only the data for Gor Sargsyan has been filled in accordance with the company’s registration in Cyprus.
